Terms of Service

These terms cover your use of the Downsen desktop application and related services. By creating an account or subscribing, you agree to them.

1. What we provide

Downsen is a desktop application for macOS and Windows that lets you build generative AI image and video work as a node graph. Generation is performed on our servers using third-party AI model providers. A paid subscription is required to generate; the application itself is free to download.

2. Accounts

You sign in with a Google account. You are responsible for keeping access to that account secure, and for activity that happens under your account. You must be at least 18 years old, or the age of majority where you live, to purchase a subscription.

3. Subscriptions, credits, and billing

• Plans are billed monthly in advance, in US dollars, through our payment processor Stripe. We do not store your card details.
• Each plan includes a monthly allowance of generation credits. Allowance credits expire at the end of each billing period and do not roll over.
• Credits are consumed when you run a generation. The credit cost is shown in the app before you run it.
• Additional credits may be purchased separately. Purchased credits do not expire while your account is active.
• Credits have no cash value, cannot be transferred or sold, and are not a currency.
• Your subscription renews automatically until cancelled. Cancel at any time; see our Refund Policy.
• We may change prices with at least 30 days' notice by email. Price changes never apply to a billing period you have already paid for.

4. Your content and who owns it

You keep all rights to the prompts you write, the material you upload, and the output you generate. We claim no ownership over them.

You grant us only the limited licence we need to operate the service: to store your content, to transmit it to the AI model providers that perform your generations, and to display it back to you in the app. Nothing here lets us use your work to market Downsen or to train models without asking you separately.

You are responsible for having the rights to whatever you upload, and for how you use what you generate.

5. Acceptable use

You may not use Downsen to create or distribute:

• Sexual content involving minors, or any content that sexualises a real person without their consent.
• Content that impersonates a real person in order to deceive, including synthetic media presented as genuine footage of them.
• Content that infringes someone else's copyright, trademark, or likeness rights.
• Content promoting violence against, or harassment of, individuals or groups.

You also may not resell access to the service, attempt to extract our API credentials, or circumvent credit limits. We may suspend accounts that do, and we cooperate with law enforcement where illegal content is involved.

6. Third-party AI providers

Generations are performed by third-party model providers. Their availability, output quality, and processing time are outside our control. Model availability may change as providers add and retire models.

7. Service availability

We aim to keep Downsen available continuously, but we do not guarantee uninterrupted service. We may need to take the service down for maintenance. We are not liable for generation delays caused by a provider outage, though credits held for a failed generation are always returned.

8. Disclaimers

Generative AI output is inherently variable. We do not warrant that any generation will meet your expectations, be free of artefacts, or be suitable for a particular purpose. The service is provided "as is" to the fullest extent permitted by law.

9. Limitation of liability

To the extent permitted by law, our total liability to you for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect or consequential losses, including lost profits or lost projects.

10. Termination

You may stop using Downsen and cancel at any time. We may suspend or terminate an account that breaches these terms, or where required by law. If we terminate your account without cause, we refund the unused portion of your current billing period.

11. Changes to these terms

We may update these terms. If a change materially affects your rights, we will email you at least 30 days before it takes effect. Continuing to use the service after that means you accept the new terms.

12. Governing law

These terms are governed by the laws of the State of Texas, United States, and any dispute will be heard in the state or federal courts located there.
